Distance Selling Agreement

1. PARTIES

This Agreement is executed between the following parties under the terms and conditions specified herein.

By accepting this Agreement, the BUYER acknowledges that upon confirming the order, they are obligated to pay the price of the ordered item, including any shipping fees, taxes, and additional charges, and that they have been informed accordingly.

2. DEFINITIONS

For the purposes of this Agreement, the terms defined below shall have the meanings assigned to them:

MINISTER: The Minister of Customs and Trade.

MINISTRY: The Ministry of Customs and Trade.

LAW: The Law on Consumer Protection No. 6502.

REGULATION: The Regulation on Distance Contracts (Official Gazette: 27.11.2014/29188).

SERVICE: Any consumer transaction other than the provision of goods undertaken for a fee or benefit.

SELLER: The company providing goods to consumers as part of its commercial or professional activities.

BUYER: A natural or legal person acquiring, using, or benefiting from a product or service for non-commercial purposes.

SITE: The website owned by the SELLER.

ORDERER: A natural or legal person requesting a product or service through the SELLER’s website.

PARTIES: The SELLER and the BUYER.

AGREEMENT: This Agreement made between the SELLER and the BUYER.

PRODUCT: The movable goods involved in the transaction, as well as software, audio, video, and similar intangible goods prepared for electronic use.

3. SUBJECT MATTER

This Agreement regulates the rights and obligations of the parties regarding the sale and delivery of the product that the BUYER orders electronically through the SELLER's website, as described below, in accordance with the Law on Consumer Protection No. 6502 and the Regulation on Distance Contracts.

The prices listed on the site are the sales prices. These prices and promises remain valid until they are updated or changed. Prices advertised for a limited time are valid until the end of the specified period.

7. PRODUCT INFORMATION

The fundamental features of the product(s)/service(s) (type, quantity, brand/model, color, and unit count) are published on the SELLER’s website. If a campaign is organized by the SELLER, the relevant product's features can be reviewed during the campaign period. This is valid until the end of the campaign date.

7.2. The listed prices on the site are sales prices. These prices and promises remain valid until they are updated or changed. Prices advertised for a limited time are valid until the end of the specified period.

The invoice will be delivered along with the order to the invoice address during the order delivery.

9. GENERAL PROVISIONS

9.1. The BUYER confirms that they have read and understood the basic characteristics of the product, its price, payment method, and preliminary information regarding delivery as provided on the SELLER’s website. The BUYER also acknowledges receiving correct and complete information about the address, basic characteristics of the ordered products, prices including taxes, payment, and delivery details prior to the conclusion of the distance sales agreement.

9.2. Each product subject to this Agreement will be delivered to the BUYER or to the person or organization specified by the BUYER within the timeframe indicated on the website, which shall not exceed 30 days from the order date, depending on the distance to the BUYER's residence. If the product cannot be delivered within this period, the BUYER reserves the right to terminate the Agreement.

9.3. The SELLER commits to delivering the product in a complete, defect-free condition, compliant with the specifications in the order, including any warranty documents and necessary information. The SELLER also commits to performing the service with diligence and care while maintaining and improving service quality.

9.4. The SELLER may provide a product of equal quality and price after informing the BUYER and obtaining their explicit consent before the obligation under the Agreement expires.

9.5. If it becomes impossible for the SELLER to fulfill their obligations due to unforeseen circumstances, the SELLER agrees to notify the BUYER in writing within three days of becoming aware of the situation, and to refund the total amount within 14 days.

9.6. The BUYER agrees to confirm this Agreement electronically for the delivery of the product, and acknowledges that if the payment for the product is not made or is canceled in the bank records for any reason, the SELLER’s obligation to deliver the product will cease.

9.7. The BUYER agrees to return the product within three days at the SELLER's expense if unauthorized individuals misuse the BUYER’s credit card after the delivery.

9.8. In the event of force majeure that prevents the timely delivery of the product, the SELLER will notify the BUYER. The BUYER retains the right to request the cancellation of the order, replacement with a similar product, or postponement of delivery until the issue is resolved.

9.9. The SELLER reserves the right to communicate with the BUYER via mail, email, SMS, or phone using the contact information provided during registration or updated later, for communication, marketing, notifications, and other purposes.

9.10. The BUYER will inspect the product before accepting delivery and will not accept any damaged or defective items. Once accepted, the product is deemed to be in perfect condition. It is the BUYER's responsibility to take care of the product after delivery, and if the right of withdrawal is to be exercised, the product must not be used.

9.11. If the credit card holder is not the same person as the BUYER during the order process, or if a security breach regarding the credit card is identified before delivery, the SELLER may request the BUYER to provide identification and contact details, and documentation proving ownership of the card. The order will be suspended until the requested documents are provided, and if not provided within 24 hours, the SELLER reserves the right to cancel the order.

9.12. The BUYER confirms that all personal and other information provided during registration is accurate and agrees to compensate the SELLER for any damages arising from inaccuracies.

9.13. The BUYER agrees to comply with legal regulations while using the SELLER's website. Any violations will result in legal and penal liabilities solely for the BUYER.

9.14. The BUYER must not use the SELLER's website for illegal purposes or in a manner that disrupts public order or violates the rights of others.

9.15. Links to third-party websites may be provided on the SELLER’s site for convenience. The SELLER does not endorse or guarantee the content of these linked sites.

9.16. Members violating any terms of this Agreement will be personally liable for any legal consequences and will indemnify the SELLER from any liability arising from such violations.

10. RIGHT OF WITHDRAWAL

10.1. The BUYER has the right to withdraw from the distance selling contract without any legal or penal liability within 14 days from the delivery date of the product to themselves or the person/organization specified, provided they notify the SELLER. For service contracts, this period begins from the date of signing the contract. The right of withdrawal cannot be exercised for services that have commenced with the consumer’s consent prior to the expiration of the withdrawal period.

10.2. To exercise the right of withdrawal, the BUYER must notify the SELLER in writing via registered mail, fax, or email within 14 days. The product must be unused and in accordance with the "Products Not Subject to Withdrawal" provisions of this Agreement. Upon exercising this right:

a) The invoice for the product must be returned (for corporate orders, a return invoice must be sent).

b) A return form must be included.

c) The returned product must be in its original packaging, undamaged, and complete.

d) The SELLER is obligated to refund the total amount and any documents binding the BUYER within 10 days of receiving the withdrawal notification.

e) If the product is diminished in value due to the BUYER's fault, the BUYER is liable for compensation. However, the BUYER is not responsible for changes or deterioration due to proper use within the withdrawal period.

f) If the withdrawal results in the campaign limit being exceeded, the discount will be voided.

11. PRODUCTS NOT SUBJECT TO WITHDRAWAL

The right of withdrawal does not apply to items prepared based on the BUYER's specific requests or personal needs, such as undergarments, swimwear, cosmetics, perishable items, and opened packages that are unsuitable for health and hygiene reasons once opened.

12. AMENDMENTS TO THE AGREEMENT

12.1. The SELLER reserves the right to amend this Agreement as necessary, including changes to prices, terms, and provisions. Any amendments will be valid only if communicated to the BUYER.

12.2. The BUYER acknowledges that they will receive notifications of any amendments and are responsible for checking the terms before confirming orders. The amended terms will take effect immediately after they are published.

13. JURISDICTION

The courts and enforcement offices of the SELLER's location are authorized to resolve any disputes arising from this Agreement.

14. ACCEPTANCE OF TERMS

The BUYER acknowledges that they have read and understood all provisions of this Agreement, including their rights and obligations, and that they voluntarily accept all terms and conditions stated herein.
